Terms of Service

1. Acceptance of Terms

By accessing or using the Raya platform, including the website at meetraya.io and the application at app.meetraya.io (collectively, the "Service"), operated by Raya Partners, Inc. ("Raya," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service.

These Terms constitute a legally binding agreement between you and Raya Partners, Inc. We may update these Terms from time to time; continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

Raya is a donation and donor management platform designed for nonprofit organizations. The Service enables:

• Online donation processing (one-time and recurring contributions)
• Donor relationship management (CRM)
• Fundraising campaign creation and management
• Email communications, receipts, and donor engagement tools
• Analytics, reporting, and AI-powered insights
• Integration with third-party services (payment processing, email delivery, etc.)

3. User Accounts

Nonprofit organizations must create an account to use the Service. By creating an account, you represent and warrant that:

• All information you provide is accurate, current, and complete.
• You have the authority to bind your organization to these Terms.
• You will maintain the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You will promptly notify us of any unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Donations and Payment Processing

• Payment processor: All payment processing is handled by Stripe, Inc., a PCI DSS Level 1 certified payment processor. By using the Service for payment processing, you also agree to Stripe's Terms of Service.
• Direct deposits: Donations are deposited directly into the nonprofit organization's connected Stripe account.
• Platform fees: Raya charges platform fees as specified in your service agreement. Fee structures may vary by plan and are disclosed prior to account activation.
• Donor tips: Donors may optionally add tips to cover platform and processing fees.
• Refunds: Refund policies are determined by the recipient nonprofit organization and are subject to Stripe's refund policies and timelines. Raya is not responsible for refund decisions made by nonprofit organizations.
• Currency: All transactions are processed in U.S. Dollars unless otherwise specified.

5. Nonprofit Organization Obligations

Organizations using the Service represent, warrant, and agree that they will:

• Maintain valid 501(c)(3) status or equivalent tax-exempt status under applicable law, and provide documentation upon request.
• Use all donations received through the Service in accordance with their stated charitable mission and donor intent.
• Provide accurate and truthful organization information, including mission statements, program descriptions, and financial representations.
• Comply with all applicable federal, state, and local charitable solicitation registration requirements and laws.
• Issue tax receipts and acknowledgment letters to donors as required by the Internal Revenue Service (IRS) and applicable law.
• Not use the Service for any purpose other than legitimate charitable fundraising.
• Respond promptly to donor inquiries regarding the use of donated funds.

6. Donor Rights

Individuals who make donations through the Service ("Donors") have the following rights:

• To receive a donation receipt and tax acknowledgment for each contribution as required by law.
• To cancel recurring donations at any time through the Service or by contacting the nonprofit organization.
• To request information about how their donations are being used.
• To have their personal data handled in accordance with our Privacy Policy.
• To opt out of marketing communications from nonprofit organizations using the Service.

7. Prohibited Uses

You may not use the Service to:

• Conduct fraudulent, deceptive, or misleading fundraising activities.
• Misrepresent the identity, mission, or tax-exempt status of any organization.
• Process payments for non-charitable purposes, personal enrichment, or money laundering.
• Violate any applicable local, state, national, or international law or regulation.
• Infringe upon the intellectual property rights of any third party.
• Transmit viruses, malware, or other harmful code.
• Attempt to gain unauthorized access to the Service, other user accounts, or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Scrape, harvest, or collect data from the Service without authorization.
• Use the Service in any manner that could damage, disable, overburden, or impair the Service.

8. Intellectual Property

The Service, including its design, code, features, trademarks, and all associated intellectual property, is owned by Raya Partners, Inc. and is protected by applicable intellectual property laws.

Organizations retain ownership of their own content, donor data, branding materials, and campaign content created through the Service. By uploading content to the Service, you grant Raya a limited, non-exclusive license to host, display, and transmit that content solely for the purpose of providing the Service.

9. Data Ownership and Portability

Nonprofit organizations own their donor data. Upon request or account termination, we will provide a reasonable period (not less than 30 days) for you to export your data. We offer data export in standard formats (CSV, JSON) to facilitate portability.

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

To the maximum extent permitted by applicable law:

• Raya Partners, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or goodwill, arising from your use of the Service.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you to Raya in the twelve (12) months preceding the claim.
• We are not responsible for the actions, content, or policies of nonprofit organizations using the Service.
• We do not guarantee uninterrupted, error-free, or secure operation of the Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless Raya Partners, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content or data submitted through the Service.

12. Termination

• By Raya: We may suspend or terminate your access to the Service immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice where reasonably possible.
• By you: You may close your account at any time by contacting us at hello@meetraya.io.
• Effect of termination: Upon termination, we will provide a reasonable period (not less than 30 days) for you to export your data. Active recurring donations will continue to be processed until cancelled by the donor or the nonprofit organization.
• Survival: Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

13. Dispute Resolution

Governing law: These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Informal resolution: Before initiating formal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at hello@meetraya.io. We will attempt to resolve the dispute within 30 days.

Arbitration: If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, or remotely at the parties' mutual agreement. The arbitrator's award shall be final and binding.

Class action waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action, class arbitration, or representative proceeding.

Exceptions: Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the Service.

14. Miscellaneous

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Raya regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• Force majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control.
